1. No Banking Services — Important Disclaimer

BLUEBANK IS NOT A BANK AND DOES NOT PROVIDE BANKING SERVICES OF ANY KIND.

1.1  BlueBank is not chartered, licensed, insured, or regulated as a bank, credit union, savings institution, money transmitter, payment processor, or any other type of financial institution by any governmental authority, including without limitation the Federal Deposit Insurance Corporation (FDIC), the National Credit Union Administration (NCUA), the Office of the Comptroller of the Currency (OCC), the Consumer Financial Protection Bureau (CFPB), or any state banking regulator.

1.2  No real financial transactions take place on this platform.Any "transfers," "deposits," "withdrawals," "balances," or "accounts" displayed or referenced within the Services are entirely simulated and carry no monetary value. No actual currency — fiat or otherwise — is held, received, sent, processed, or moved through BlueBank under any circumstances.

1.3  No funds deposited, transferred, or otherwise entrusted to BlueBank are insured by the FDIC, NCUA, or any other governmental deposit insurance program, because BlueBank holds no real funds.

1.4  You acknowledge and agree that You will not receive any money, payment, transfer, or financial benefit of any kind through Your use of the Services, regardless of any representation, notification, message, or communication You may have received suggesting otherwise.

2. Definitions

As used throughout these Terms of Service:

• "BlueBank," "Company," "We," "Us," or "Our" refers to BlueBank and each of its past, present, and future officers, directors, shareholders, members, employees, contractors, agents, affiliates, subsidiaries, parent entities, successors, assigns, licensees, designees, transferees, and any individual or entity acting on BlueBank's behalf or at BlueBank's direction, whether directly or indirectly, and whether or not such relationship is disclosed to You.
• "Released Party" or "Released Parties" means BlueBank and, additionally, any individual or entity that BlueBank, in its sole and absolute discretion, designates as a beneficiary of the releases and indemnities set forth herein, whether such designation is made before, during, or after the events giving rise to a claim. BlueBank may extend the benefit of these Terms to any such party at any time without notice to You.
• "User," "You," or "Your" refers to any individual or entity that accesses, browses, registers with, transacts through, or otherwise interacts with the Services in any capacity.
• "Transaction" means any simulated transfer, payment, deposit, withdrawal, conversion, or other apparent movement of funds initiated through or in connection with the Services. All Transactions are simulated and involve no real funds.

3. Eligibility and Account Registration

3.1  You represent and warrant that You are at least eighteen (18) years of age, have the legal capacity to enter into binding contracts in Your jurisdiction, and are not prohibited from using the Services under applicable law.

3.2  You agree to provide accurate, current, and complete information during registration and to update such information as necessary. BlueBank makes no representation or warranty that information You submit is verified, authenticated, or cross-checked against any authoritative source.

3.3  You are solely responsible for maintaining the confidentiality of Your account credentials. BlueBank shall bear no liability whatsoever for any action taken using Your credentials, whether authorised by You or not.

4. Nature of Services and No Warranties

THE SERVICES ARE PROVIDED STRICTLY ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, BLUEBANK AND EACH OF THE RELEASED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement;
• Any warranty that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
• Any warranty that Transactions will be executed accurately, timely, or at all;
• Any warranty that funds transmitted through the Services will reach their intended recipient;
• Any warranty as to the accuracy, completeness, or reliability of any information provided through the Services.

5. Transaction Risk and No Guarantee of Execution

5.1  You expressly acknowledge that all Transactions are simulated and that no real funds are involved. BlueBank does not guarantee the successful completion, reversal, or cancellation of any Transaction once initiated.

5.2  BlueBank makes no representation or warranty that any Transaction complies with any applicable anti-money-laundering law, sanctions regime, tax obligation, or financial regulation. Compliance with all applicable laws is solely Your responsibility.

5.3  BlueBank reserves the right to suspend, delay, reverse, or cancel any Transaction in its sole and absolute discretion and without liability to You, including without notice.

6. Simulated Statistics, Testimonials, and Marketing Representations

6.1  All statistics and figures are simulated.Any and all statistics, metrics, figures, counts, or quantitative claims displayed anywhere on the Services — including without limitation user counts (e.g., "2 million users"), geographic reach claims (e.g., "150+ countries"), transaction volumes, transfer speeds, exchange rates, fee representations, app ratings (e.g., "4.9 / 5"), and any other numerical or descriptive claim — are entirely fictitious, simulated, and fabricated for illustrative purposes only. They do not reflect real users, real transactions, real geographic operations, real ratings, or any other real-world data of any kind.

6.2  Testimonials are fictitious. All user testimonials, reviews, quotes, endorsements, or attributed statements displayed on the Services are entirely fabricated. They do not represent the experiences, opinions, or words of any real person. Any resemblance to any real individual, living or deceased, is coincidental.

6.3  No reliance. You expressly acknowledge that You have not relied, and will not rely, on any statistic, figure, testimonial, rating, or marketing claim displayed on the Services in making any decision, financial or otherwise. BlueBank makes no representation that any such material is accurate, current, or complete, and expressly disclaims all such representations to the fullest extent permitted by applicable law.

6.4  Indemnification for marketing representations.You agree to defend, indemnify, and hold harmless each of the Released Parties from and against any and all claims, liabilities, judgments, awards, damages, losses, costs, expenses, and attorneys' fees arising out of or relating to any reliance You or any third party places on any statistic, figure, testimonial, rating, marketing claim, or other representation displayed on or in connection with the Services, whether or not such representation is accurate, and whether or not You were aware of its simulated nature at the time of reliance.

7. Intentional Feature Limitations and Information Elicitation

7.1  Intentional Functional Limitations.You acknowledge and agree that certain pages, features, links, buttons, forms, workflows, account functions, navigation elements, and other components of the Services (collectively, "Platform Features") may be intentionally disabled, non-functional, incomplete, inaccessible, or otherwise unavailable at any time, without notice, and without any underlying technical malfunction. Such limitations are a deliberate and intentional characteristic of the Services and do not constitute a service failure, breach of contract, misrepresentation, or defect of any kind.

7.2  Information Elicitation. You further acknowledge and agree that certain intentional limitations described in Section 7.1 may be specifically designed and implemented for the express purpose of prompting, inducing, or otherwise encouraging Users to submit additional Personal Data, account credentials, identifying information, financial information, verification documents, or any other information through the Services. The deliberate restriction of Platform Features as a mechanism for soliciting further User submissions is an expressly disclosed and intended function of the Services. By accessing or using the Services, You irrevocably consent to this practice.

7.3  No Expectation of Full Functionality. You expressly waive any expectation that any Platform Feature will operate as it may appear to operate, that any apparent workflow will reach a successful or functional completion, or that any displayed option, button, page, link, or interface element will produce the result it appears to offer. BlueBank makes no representation that any Platform Feature serves any purpose other than the collection of User-submitted information, and You agree that the appearance of functionality does not constitute a warranty or guarantee of actual functionality.

7.4  No Liability for Functional Limitations. BlueBank and each of the Released Parties shall bear no liability whatsoever for any harm, loss, frustration, or damage of any kind arising from Your reliance upon, or Your inability to use or complete, any Platform Feature, whether such limitation was intentional, incidental, or otherwise. You assume all risk associated with the non-functional or partially functional nature of the Services.

8. Comprehensive Limitation of Liability and Total Release

8.1  EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NONE OF THE RELEASED PARTIES SHALL BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DAMAGES OF ANY NATURE WHATSOEVER ARISING OUT OF OR IN ANY WAY CONNECTED WITH THESE TERMS OF SERVICE OR YOUR USE OF THE SERVICES, INCLUDING WITHOUT LIMITATION:

• Direct, indirect, incidental, special, consequential, exemplary, or punitive damages;
• Loss of profits, revenue, business, goodwill, data, or anticipated savings;
• Loss of funds, whether through failed Transactions, unauthorised access, system error, or any other cause;
• Damages arising from reliance on any information provided through the Services;
• Damages arising from the acts or omissions of any third party, including any third party whom BlueBank designates as a Released Party;
• Damages arising from interruption, suspension, or termination of the Services;
• Any other loss or damage of any kind, however arising, whether based in contract, tort (including negligence), strict liability, statute, or any other legal or equitable theory.

THIS EXCLUSION APPLIES WHETHER OR NOT ANY RELEASED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE FAILURE OF ANY ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

8.2  Aggregate Liability Cap. To the extent any court or tribunal of competent jurisdiction determines that any Released Party bears any liability to You, the aggregate liability of all Released Parties combined shall not exceed the greater of (a) the total fees paid by You to BlueBank in the twelve (12) months immediately preceding the claim, or (b) one United States Dollar (USD $1.00).

8.3  Irrevocable Release — BlueBank and All Designated Parties. You hereby irrevocably, unconditionally, and permanently release, acquit, and forever discharge each of the Released Parties — including any individual or entity that BlueBank may, at its sole discretion and at any time, elect to extend the benefit of this release to — from any and all claims, demands, actions, causes of action, suits, judgments, damages, losses, costs, and expenses of any kind or nature, whether known or unknown, suspected or unsuspected, matured or unmatured, liquidated or contingent, arising at law or in equity, that arise out of or relate in any way to:

• Your use of or inability to use the Services;
• Any Transaction initiated, processed, delayed, reversed, or cancelled through the Services;
• Any act or omission of any Released Party, including those designated by BlueBank after the fact;
• Any breach of these Terms of Service by any party;
• Any content, representation, or communication made through or in connection with the Services.

8.4  Waiver of Unknown Claims. You expressly waive any statute or common-law principle that would otherwise limit the scope of a release to claims known or suspected at the time of execution, including without limitation Section 1542 of the California Civil Code or any analogous provision of any other jurisdiction.

8.5  BlueBank's Right to Extend Release. BlueBank expressly reserves the right, in its sole and absolute discretion and without notice to You, to designate any individual or entity as a beneficiary of the releases, indemnities, and liability limitations set forth in these Terms of Service. Such designation may occur before, contemporaneously with, or after any event giving rise to a potential claim by You.

9. Indemnification

You agree to defend, indemnify, and hold harmless each of the Released Parties from and against any and all third-party claims, liabilities, judgments, awards, damages, losses, costs, expenses, and attorneys' fees arising out of or relating to: (a) Your use of the Services; (b) any Transaction You initiate; (c) Your violation of these Terms of Service; (d) Your violation of any applicable law or regulation; or (e) any claim by a third party relating to Your account or conduct.

10. Suspension and Termination

BlueBank may suspend, restrict, or terminate Your access to the Services at any time, for any reason or no reason, with or without notice, and without liability. Upon termination, all rights granted to You under these Terms of Service cease immediately. Sections 8, 9, 11, 12, 13, and 14 survive any termination or expiration of these Terms of Service.

11. Assumption of Risk

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS UNDERTAKEN ENTIRELY AT YOUR OWN RISK. YOU UNDERSTAND AND ACCEPT THAT THE SERVICES MAY FAIL, THAT TRANSACTIONS MAY NOT EXECUTE AS EXPECTED, AND THAT NO REAL FUNDS ARE INVOLVED, AND YOU VOLUNTARILY ASSUME ALL SUCH RISKS. NO RELEASED PARTY BEARS ANY RESPONSIBILITY FOR SUCH OUTCOMES.

12. No Fiduciary or Agency Relationship

Nothing in these Terms of Service shall be construed to create any fiduciary duty, agency relationship, partnership, joint venture, or employment relationship between You and any Released Party. BlueBank acts solely as a technology platform and assumes no custodial, trustee, or fiduciary obligation with respect to any funds or information associated with Your account.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Ohio, United States of America, without regard to conflict-of-laws principles. All disputes shall be resolved exclusively by final and binding arbitration in Columbus, Ohio, under the rules of the American Arbitration Association. You irrevocably waive any right to trial by jury and any right to participate in any class, collective, or representative proceeding.

14. Amendments, Severability, and Entire Agreement

BlueBank may amend these Terms of Service at any time and in its sole discretion, with or without notice. Your continued use of the Services following any amendment constitutes acceptance of the amended Terms. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and all remaining provisions shall remain in full force. These Terms of Service, together with BlueBank's Privacy Policy, constitute the entire agreement between You and BlueBank regarding the Services.
